These Terms of Service (“Terms”) govern your access to and use of the website bharatconnector.com and the BharatConnector products and services (together, the “Services”) provided by BharatConnector, a product of TechForBharat.com (“TechForBharat.com”, “we”, “us” or “our”). By accessing the Website or using the Services, you agree to these Terms.

1. Acceptance of terms

By accessing or using the Website or Services, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organisation, you represent that you are authorised to bind that organisation. If you do not agree, do not use the Website or Services.

2. The Services

BharatConnector provides connector and middleware technology that helps healthcare providers, software vendors, insurers and third-party administrators integrate with India’s digital public infrastructure, including the Ayushman Bharat Digital Mission (ABDM) and the National Health Claims Exchange (NHCX), and to support claims workflows for schemes such as AB-PMJAY and private insurers. Integration may be delivered through plug-and-play endpoints, a hosted front-end wrapper, or native integration with certification support, as described on the Website or in a separate order, statement of work or agreement. The specific scope, deliverables and service levels applicable to you are those set out in such separate agreement, which prevails over the Website description in the event of conflict.

3. Independence & government programmes

BharatConnector is an independent technology provider. Unless expressly stated in writing, we are not affiliated with, endorsed by, or acting on behalf of the National Health Authority (NHA), ABDM, NHCX, AB-PMJAY or any government body. References to these programmes describe interoperability that our Services help you achieve. Access to and the behaviour of such programmes, their sandboxes, specifications and certification processes are controlled by the respective authorities and may change; we do not guarantee their availability, timelines or outcomes, and any certification remains subject to the relevant authority’s approval.

4. Eligibility

The Services are intended for businesses and professionals. By using the Services you represent that you are at least 18 years old and capable of entering into a binding contract, and that your use complies with all laws applicable to you.

5. Your responsibilities

• Obtain and maintain all consents, authorisations and notices required from patients, end-users and other data principals before any personal or health data is processed through the Services;
• Use the Services in compliance with applicable law and with the policies, guidelines and specifications of ABDM, NHCX, the NHA and any relevant scheme, insurer or regulator;
• Provide accurate information, and keep your credentials, keys and access secure and confidential;
• Be responsible for your own systems, data and the acts of your personnel and end-users; and
• Not rely on the Services or the Website as legal, medical, regulatory or compliance advice.

6. Acceptable use

You agree not to: (a) use the Services unlawfully or for any unlawful, harmful or fraudulent purpose; (b) attempt to gain unauthorised access to, disrupt or compromise the Services or related systems; (c) reverse engineer, copy or create derivative works from the Services except as permitted by law; (d) misrepresent your identity or authority; or (e) use the Services to infringe the rights of others or to transmit malicious code.

7. Intellectual property

The Website, the Services, and all related software, content, designs, trademarks and materials are owned by TechForBharat.com or its licensors and are protected by intellectual-property laws. Subject to these Terms and any applicable agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes. All rights not expressly granted are reserved. “BharatConnector” and “TechForBharat.com” and associated logos are our marks and may not be used without our prior written consent.

8. Third-party services

The Services may interoperate with or rely on third-party services, networks and government platforms. We are not responsible for the availability, accuracy, or acts and omissions of such third parties, and your use of them may be subject to their own terms.

9. Fees

Where the Services are provided for a fee, the applicable charges, billing and payment terms will be set out in a separate order, quotation or agreement. Unless stated otherwise, fees are exclusive of applicable taxes, which you are responsible for.

10. Confidentiality

Each party may receive confidential information of the other. The receiving party will protect such information with reasonable care, use it only as needed to perform under these Terms or an applicable agreement, and not disclose it except to those who need to know and are bound by confidentiality obligations, or as required by law.

11. Data protection

Our handling of personal data through the Website is described in our Privacy Policy. Where we process personal data on your behalf as part of delivering the Services, the parties will comply with applicable data-protection law, including the DPDP Act, and with any data-processing terms in the applicable agreement, which allocate the roles of Data Fiduciary and Data Processor as appropriate.

12. Disclaimers

Except as expressly stated in a separate written agreement, the Website and Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or that they will meet every regulatory requirement applicable to you. Information on the Website is for general purposes and is not legal, medical or compliance advice.

13. Limitation of liability

To the maximum extent permitted by law, TechForBharat.com and its affiliates will not be liable for any indirect, incidental, special, consequential or exemplary damages, or for loss of profits, revenue, data or goodwill, arising out of or relating to the Website or Services. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts paid by you to us for the Services giving rise to the claim in the twelve (12) months preceding the event, or, where no fees have been paid, INR 10,000. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Indemnification

You agree to indemnify and hold harmless TechForBharat.com and its affiliates, officers, employees and agents from and against any claims, damages, liabilities and expenses arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

15. Term & termination

These Terms apply while you access the Website or use the Services. We may suspend or terminate your access at any time if you breach these Terms or if we reasonably consider it necessary to protect the Services or comply with law. Provisions that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability and governing law — will survive.

16. Governing law & jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Subject to any dispute-resolution terms in a separate agreement, the courts at [City], India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

17. Changes to these terms

These Terms, together with any applicable order or agreement and our Privacy Policy, constitute the entire agreement between you and us regarding the Website and Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganisation, merger or sale of assets.
